RBI Issues Compounding Orders Against BPTP Limited and Its Directors for FEMA Contraventions

New Delhi: The Reserve Bank of India (RBI) has issued compounding orders against M/s BPTP Limited and its directors in connection with certain contraventions under the Foreign Exchange Management Act (FEMA), 1999.

The orders were issued on September 17, 2026, under Section 15(1) of FEMA, 1999. The proceedings relate to contraventions that fall within the compoundable category under the foreign exchange law.

Compounding under FEMA provides a legal mechanism through which certain admitted or established contraventions can be settled by payment of a prescribed amount, subject to the applicable provisions and procedures. The RBI, as the designated authority in such matters, considers the relevant facts and circumstances before passing a compounding order.

In the case of BPTP Limited and its directors, the RBI examined the contraventions reported in connection with the company and determined that they fell within the category of matters that could be compounded under FEMA.

The compounding proceedings are part of the regulatory framework governing foreign exchange transactions and related compliance requirements in India. FEMA lays down rules for transactions involving foreign exchange, foreign assets and liabilities, and certain cross-border financial dealings.

The RBI’s order brings the compounding proceedings to a formal conclusion in respect of the contraventions covered by the order, subject to the terms specified by the central bank.

The action also highlights the importance of compliance with FEMA requirements for companies and their directors involved in transactions that come within the scope of India’s foreign exchange regulations.

The September 17 order is a regulatory action concerning specified FEMA contraventions and should not, by itself, be interpreted as a finding of criminal wrongdoing. The nature and scope of the contraventions are governed by the specific compounding order issued by the RBI.
